Welcome to Eazy Fonts ("we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website, eazyfonts.com ("Website"), and the purchase, licensing, and use of our font software ("Font Software"). By accessing or using our Website or purchasing our Font Software, you agree to be bound by these Terms. If you do not agree, please do not use our Website or Font Software.

1. Scope of Agreement

These Terms apply to all interactions between you ("you" or "User") and Eazy Fonts, including but not limited to browsing our Website, purchasing font licenses, and using our Font Software. Any additional or conflicting terms you propose, such as those in a purchase order, are not binding unless we expressly agree in writing.

2. Font Software License

The Font Software is licensed, not sold. Upon full payment, we grant you a non-exclusive, non-transferable, revocable license to use the Font Software as specified in your purchase receipt. The specific license type (e.g., Desktop, Web, App) determines permitted uses, user limits, and distribution rights. All uses require a valid license. Unauthorized use or distribution is prohibited and may result in license termination. For detailed license terms, refer to our End User License Agreement (EULA) provided with your purchase.

3. Intellectual Property

The Font Software, including font designs, and all associated trademarks, are the exclusive property of Eazy Fonts and its designers, protected by U.S. copyright, trademark, and international intellectual property laws. You may not copy, modify, reverse engineer, decompile, or create derivative works from the Font Software without our prior written consent. Unauthorized use constitutes infringement and may cause significant financial harm to us.

4. Permitted Uses

Your license specifies permitted uses, which may include:

• Desktop License: For creating printed materials, non-editable documents, or images on desktop computers.
• Web License: For styling HTML/SVG documents via CSS @font-face, hosted on your servers, with specified domain and visitor limits based on your license.
• App License: For embedding in mobile applications (e.g., iOS, Android) per title.
• Other Licenses: For ePubs, software embedding, device embedding, or merchandise, as specified in your license.

Use in generative or artificial intelligence (AI) applications is strictly prohibited. Contact us at support@eazyfonts.com for clarification on permitted uses.

5. Restrictions

Unless expressly permitted by your license, you may not:

• Share, rent, lease, sublicense, or distribute the Font Software.
• Modify, adapt, or reformat the Font Software for other systems or uses.
• Rename and re-export the Font Software and share, sell, rent, lease, sublicense, or distribute as your own Font Software.
• Embed Font Software in editable documents without an appropriate license.
• Use the Font Software on unlicensed third-party platforms or exceed licensed user/visitor limits.

You may make one backup copy for archival purposes, which you must control and destroy upon license termination.

6. Delivery

Font Software is delivered via secure online download in formats suited to your license (e.g., OpenType for Desktop, WOFF/WOFF2 for Web, TrueType for Apps). We may provide updated formats if industry-standard software or browser requirements change, upon your request.

7. Third-Party Use

If you are a design agency or contractor, your client must purchase their own license for their intended use. Temporary employees or contractors will also need to purchase their own license for the Font Software during a project and will be required to adhere to these Terms.

8. Payment and Pricing

Prices are quoted in U.S. dollars, excluding taxes, duties, and shipping fees, which you are responsible for. Payment is due upon purchase. Unless specifically set forth in a written agreement between you and Eazy Fonts, payment for goods or services from Eazy Fonts is due within 30 days of invoice unless otherwise agreed in writing. Overdue payments accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law.

9. Warranty and Liability

We warrant that the Font Software will perform as described for 30 days from delivery. To claim under this warranty, contact us with your receipt or purchase details. Except as required by law, the Font Software is provided "as is," without warranties of merchantability, fitness for a particular purpose, or non-infringement. We are not liable for special, consequential, or incidental damages, including lost profits, even if advised of such risks. Your sole remedy is limited to a refund of the license fee or replacement of the Font Software, at our discretion.

10. Termination

We may terminate your license if you breach these Terms. Upon termination, you must destroy all copies of the Font Software, including backups. We reserve all rights and remedies under law.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of North Carolina, USA, for contracts performed entirely within the state, without regard to conflict of laws. Disputes will be resolved exclusively in the state or federal courts of North Carolina. You consent to their jurisdiction and waive objections to venue or service of process by mail. The United Nations Convention on Contracts for the International Sale of Goods is excluded.

12. Compliance with Laws

You agree to comply with all applicable U.S. and international laws, including export control and technology transfer regulations. For government purchases, you must adhere to relevant procurement rules.

13. Modifications to Terms

We may update these Terms at any time, with changes posted on our Website. Continued use after changes constitutes acceptance. No amendments are valid unless in writing signed by our authorized representative.

14. Entire Agreement

These Terms, along with the EULA and your purchase receipt, constitute the complete agreement between you and Eazy Fonts, superseding all prior agreements or communications. If any provision is invalid, the remaining provisions remain effective, and we will replace the invalid provision to reflect its intent within legal limits.
